Welcome to Ovico Gallery. These Terms of Service explain the rules for using our website and for buying artwork, booking private viewings, and attending our exhibitions. We have written them in plain English on purpose. If anything here is unclear, please ask us before you buy or book. Our contact details are at the end.

1. Introduction and Acceptance of These Terms

These Terms of Service (“Terms”) are an agreement between you and Ovico Gallery (“Ovico Gallery”, “we”, “us”, or “our”). They apply to your use of https://www.ovicogallery.com (the “Website”) and to everything we offer through it, including original artwork, limited edition giclée prints, private viewings, and exhibitions.

By browsing the Website, creating an account, placing an order, submitting an inquiry, booking a viewing, or attending one of our events, you confirm that you have read these Terms and agree to them. If you do not agree with any part of these Terms, please do not use the Website or purchase from us.

You should also read our Privacy Policy, which explains how we handle your personal information. The Privacy Policy forms part of these Terms.

2. About Ovico Gallery

Ovico Gallery is a contemporary art gallery representing the Nigerian artist Chike Onuorah. We sell original paintings and limited edition giclée prints, and we host private viewings and exhibitions for collectors, advisors, designers, and institutions.

Because we represent a single living artist, most of what we sell is either a unique, one-of-a-kind work or part of a strictly limited edition. That shapes several of the terms below, particularly the sections on availability, copyright, and returns.

3. Who May Use This Website

You may use the Website only if:

  • You are at least 18 years old, or you are old enough to enter into a binding contract where you live, whichever is greater.
  • You are using the Website for lawful purposes.
  • You have not previously been suspended or removed by us.

If you are buying on behalf of a company, trust, institution, or another person, you confirm that you have the authority to do so, and that they agree to these Terms as well.

The Website is operated from the United States. We do not promise that the Website or our products are appropriate or available in every country. If you access the Website from elsewhere, you are responsible for complying with your own local laws.

4. Your Account

You can browse most of the Website without an account. If you create one, you agree to:

  • Give accurate, current, and complete information.
  • Keep your password confidential and not share your login with anyone else.
  • Tell us promptly at info@ovicogallery.com if you believe someone has used your account without permission.

You are responsible for activity that happens under your account. We may suspend or close an account if we reasonably believe it is being used fraudulently, unlawfully, or in breach of these Terms.

5. How You May Use This Website

You are welcome to browse the Website, read our writing, view the artwork, share links to our pages, and print or save pages for your own personal, non-commercial reference.

You agree that you will not:

  • Copy, reproduce, republish, sell, license, or distribute any part of the Website or the artwork images without our written permission.
  • Use the Website in a way that breaks any law, infringes anyone’s rights, or is fraudulent, deceptive, or harmful.
  • Attempt to gain unauthorised access to the Website, our servers, or any account that is not yours.
  • Introduce viruses, malware, or any other harmful code.
  • Interfere with the normal operation of the Website, including by overloading it or bypassing security features.
  • Place fraudulent, speculative, or bad-faith orders, or make bookings you do not intend to keep.
  • Impersonate Ovico Gallery, the artist, or any other person, or misrepresent your relationship with us.
  • Use the Website or our images to imply an endorsement, representation, or partnership that does not exist.

6. The Artwork We Offer

Original artwork

Original paintings are unique. There is only one of each, so once a work is sold it cannot be reproduced or replaced. Because our works are also shown in the gallery and at exhibitions, a piece listed on the Website may be sold in person before the listing is updated. Listing a work on the Website is an invitation for you to make an offer, not a guarantee that the work is still available.

If the work you ordered is no longer available, we will contact you promptly, cancel that part of your order, and refund you in full. We may also offer you comparable available work, but you are never obliged to accept it.

Limited edition giclée prints

Our limited edition giclées are fine art reproductions of original works, printed on archival materials. For each edition we state the edition size on the product page. When the edition sells out, we will not print more copies of that image in the same size and medium as that edition.

Where an edition is described as signed or numbered, each print carries the artist’s signature and its number within the edition. Small variations between individual prints are normal and are a characteristic of hand-finished fine art printing, not a defect.

Buying a giclée does not make you the owner of the original painting, and it does not give you any right to reproduce the image. See the section on Copyright in the Artwork below.

Works available by inquiry only

Some works are offered by consultation rather than through the shopping cart. These may be shown as “price on request”, “inquire”, or similar. For these works:

  • Submitting an inquiry does not reserve the work and does not create a contract.
  • We will respond with pricing, condition, dimensions, framing, and shipping information.
  • A sale is only agreed once we confirm the terms with you in writing and payment arrangements are settled.

7. Images, Colours, and Descriptions

We photograph and describe every work as carefully as we can. Even so, colour, texture, scale, sheen, and surface detail can look different on your screen than they do in person. Screens, browsers, lighting, and device settings all affect what you see, and paint surfaces in particular are difficult to capture fully in a photograph.

Small differences between the image on the Website and the work you receive are expected and are not defects. Where exact colour or scale matters to you, we encourage you to request additional photographs, a video, or a private viewing before you buy. We are happy to provide these.

Dimensions are approximate and are usually given for the unframed work unless we say otherwise. We correct errors in descriptions, prices, and availability when we find them, and we may do so even after an order has been placed. If a correction affects your order, we will tell you and give you the choice to continue or cancel for a full refund.

8. Prices, Currency, and Taxes

Unless we clearly state otherwise, prices are shown in United States dollars and do not include shipping, crating, insurance, framing, sales tax, or any import duties.

Prices can change at any time before you place an order. The price that applies to you is the price shown when your order is accepted. If a price is obviously wrong because of a technical or human error, we are not required to honour it. In that situation we will contact you, and you may either confirm the order at the correct price or cancel it for a full refund.

Sales tax is applied where the law requires it, based on your delivery address. You are responsible for any other taxes that apply to you.

9. Placing an Order and When It Becomes a Contract

Placing an order or submitting an inquiry is an offer to buy. It is not a binding contract yet. A contract is formed only when we send you an order confirmation or a written acceptance of your inquiry.

We may decline or cancel an order, in whole or in part, for reasons including:

  • The work has already sold.
  • There was a pricing, description, or availability error.
  • Payment could not be verified or was flagged as potentially fraudulent.
  • We cannot ship safely or lawfully to your delivery address.
  • We reasonably believe the order breaches these Terms.

If we cancel an order after taking payment, we will refund you in full.

10. Payment

We accept the payment methods shown at checkout, and for higher value works we may agree alternative arrangements such as bank transfer or a staged payment schedule. Any such arrangement must be agreed in writing.

Payments made through the Website are handled by third-party payment processors. We do not store your full card details on our systems. Your use of a payment method is also subject to that provider’s own terms and privacy practices.

By submitting payment details, you confirm that you are authorised to use that payment method and that the information you have given is accurate. Ownership of the artwork does not pass to you until we have received payment in full and the funds have cleared, even if the work has already been delivered.

If you are paying in installments, we may hold the work until the final payment clears. Late or failed payments may result in the sale being cancelled.

11. Shipping, Delivery, and Risk of Loss

Because each work is different in size, weight, and fragility, shipping for original paintings is arranged individually rather than through a fixed rate. After your order or inquiry, we will confirm the packing method, carrier, insurance, cost, and expected timing with you.

Please note:

  • Handling and delivery estimates are estimates, not guarantees. Bespoke crating, framing, and specialist art handling can extend timelines.
  • Risk of loss or damage passes to you when the work is delivered to the address you gave us, or when it is collected by you or your appointed agent.
  • You are responsible for giving us a complete, accurate, and safe delivery address, and for making sure someone is available to receive the work.
  • If a delivery fails because the address was wrong or nobody was available, any additional storage, redelivery, or return costs are yours.
  • Larger works may require inside delivery, two-person handling, or an installation service, which may be quoted separately.

We are not responsible for delays caused by carriers, customs, weather, or other events outside our reasonable control.

12. International Orders, Customs, and Duties

We ship internationally where we can do so safely and lawfully. For international deliveries:

  • You are the importer of record.
  • You are responsible for all import duties, customs charges, brokerage fees, and local taxes, and these are charged on top of the price and shipping cost.
  • Customs clearance can add delays that we cannot control or predict.
  • If a shipment is refused, abandoned, or returned because import charges were not paid, any resulting costs are yours and may be deducted from a refund.

Some countries restrict the import of certain materials or artworks. It is your responsibility to check your local rules before ordering.

13. Cancellations, Returns, and Refunds

We want you to live with a work you love, and we would rather talk with you before a sale than process a return afterwards. Ask us for extra photographs, a video walkthrough, or a private viewing at any time.

Our position on returns:

  • Before shipping. You may cancel an order at any time before the work ships by emailing info@ovicogallery.com. We will refund you in full, less any non-recoverable costs we have already incurred at your request, such as bespoke framing or custom crating.
  • After delivery. If you wish to return a work, contact us within [Insert return window, for example 7 or 14] days of delivery. Returns are accepted only if we agree in writing first.
  • Condition. Returned works must arrive in their original condition, in the original packaging or equivalent professional packing, fully insured for the purchase price.
  • Costs. Unless the work arrived damaged or was materially not as described, return shipping, insurance, and repacking costs are yours. Original shipping and crating charges are not refundable.
  • Not returnable. Commissioned works, custom framing, works altered at your request, and works sold as final sale are not returnable unless the law says otherwise.
  • Refund timing. Approved refunds are issued to the original payment method once we receive and inspect the returned work. Your bank or card provider may take additional time to post the funds.

Nothing in this section limits any statutory rights you may have under the consumer law that applies to you.

14. Damaged, Lost, or Delayed Shipments

Please inspect your delivery as soon as it arrives, and keep all packing materials until you have done so.

If a work arrives damaged, or if a shipment does not arrive:

  • Tell us within 48 hours of delivery, or of the expected delivery date for a missing shipment.
  • Send clear photographs of the outer packaging, the inner packing, and the damage itself.
  • Keep the work and all packaging until the claim is resolved, since carriers and insurers often require an inspection.

We will then work with you and the carrier to resolve the claim, which may result in repair, restoration by a qualified conservator, a replacement where one exists, or a refund. Reporting late may limit what we or the insurer can do.

15. Private Viewings

Private viewings are by appointment. When you request one:

  • A booking is confirmed only when we confirm it to you directly. A submitted request on its own does not reserve a time.
  • Please tell us as early as you can if you need to reschedule or cancel.
  • We may need to reschedule for reasons such as artwork transport, an artist commitment, or an event. If that happens we will offer you the earliest alternative we can.
  • Viewings are offered so you can consider a purchase. They do not reserve any work, and a work you view may be sold to another buyer unless we have agreed a written hold with you.

While you are with us, you agree to follow reasonable instructions from our staff, not to touch the artwork unless invited to, and to supervise anyone who attends with you, including children. You are responsible for any loss or damage caused by you or your guests to artwork or property during your visit.

Photography for personal reference is usually fine, but please ask first. Commercial or press photography and filming require our written permission.

16. Exhibitions and Events

From time to time we host exhibitions, openings, and other events, either at the gallery or at another venue.

  • Some events require registration or an invitation, and places may be limited.
  • Details such as dates, times, venue, featured works, and guest appearances can change, and events can be postponed or cancelled. 
  • We may refuse entry, or ask someone to leave, where behaviour is unsafe, unlawful, or disruptive, or where venue capacity has been reached.
  • You attend at your own risk, and you must follow the venue’s rules as well as ours.
  • We may photograph or film our events for archival, editorial, and promotional use. By attending, you agree that you may appear in those images or recordings. If you would prefer not to appear, tell a member of our team at the event and we will do our best to accommodate you.

17. Authenticity, Documentation, and Provenance

Every work we sell comes to us directly from the artist or through channels we have verified, and our sales are backed by documentation that records the work, the artist, and its sale.

We describe each work’s medium, dimensions, date, and edition details as accurately as we can. Attribution, dating, and condition assessments are informed opinions based on the information available to us, and they are given in good faith rather than as a guarantee. If you need an independent appraisal or condition report, we encourage you to arrange one, and we will cooperate with any specialist you appoint.

Please keep your documentation. Replacing it later is not always possible, and provenance records matter if you resell, insure, or lend the work.

18. No Investment Advice or Guarantee of Value

We sometimes write and speak about collecting art, including how collectors think about long-term value. That material is for general education only.

Nothing on the Website, in our correspondence, or in conversation with our team is financial, investment, tax, or legal advice. Art is not a regulated financial product. Values can go up or down, some works never resell, and past sale prices for an artist do not predict future ones. We do not guarantee that any work will hold its value, appreciate, or be resellable. Before treating art as part of a financial plan, please speak with your own qualified advisor.

19. Copyright in the Artwork

This section matters, so we have made it as clear as we can.

When you buy a painting or a print, you own that physical object. You do not own the copyright in the image. Copyright and all other intellectual property rights in the artwork stay with the artist, Chike Onuorah, or with whoever holds those rights, unless we transfer them to you separately in a signed written agreement.

As the owner of the object, you may display it in your home or business, resell or gift the physical work, and take personal photographs of it in your space.

Without written permission, you may not:

  • Reproduce the image, in print or digitally, including on merchandise, packaging, textiles, wallpaper, or signage.
  • Make or sell copies, derivative works, adaptations, or new editions of the work.
  • Mint, sell, or distribute the image as an NFT or any other tokenised or blockchain-based asset.
  • Use the image commercially, including in advertising, film, television, or brand campaigns.
  • Use the image, or any image from the Website, to train, fine-tune, or otherwise develop artificial intelligence or machine learning systems.
  • Alter, deface, crop, or misattribute the work, or present it in a way that damages the artist’s reputation.

Where the law recognises moral rights, including the right to be identified as the author of the work and the right to object to derogatory treatment of it, the artist keeps those rights. Please credit the artist by name when you publish an image of a work you own.

If you would like to reproduce a work, for example in a book, a magazine feature, or an exhibition catalogue, contact us. We are usually glad to help.

20. Intellectual Property in This Website

The Website and its contents, including text, artwork images, photography, video, poetry, essays, page design, layout, graphics, and the Ovico Gallery name and logo, are owned by us or our licensors and are protected by copyright, trademark, and other laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to view and use the Website for your own non-commercial purposes. Any other use requires our written permission. We may withdraw this licence if you breach these Terms.

Nothing on the Website should be read as granting you a licence to use any trademark shown on it.

21. Automated Access, Scraping, and AI Training

You may not use bots, crawlers, scrapers, or any other automated tool to access, copy, index, or collect content from the Website, except that standard search engine crawlers may index the Website in the ordinary way unless we exclude them.

You may not use any content from the Website, including artwork images, written material, and product data, to train, fine-tune, benchmark, or develop artificial intelligence or machine learning models, or to build a competing dataset or database. We reserve all rights on this point.

22. Content You Submit to Us

You may send us content through inquiry forms, booking requests, email, reviews, or comments. You keep ownership of what you send.

By submitting content, you:

  • Confirm that it is yours to share and does not infringe anyone else’s rights.
  • Confirm that it is not unlawful, misleading, defamatory, obscene, hateful, or harassing.
  • Give us a non-exclusive, royalty-free, worldwide licence to store and use it as needed to respond to you and to run our business.

We may edit, refuse to publish, or remove submitted content at our discretion. We do not routinely monitor submissions, and we are not responsible for content submitted by others. If you see something that should not be there, tell us at info@ovicogallery.com and we will look into it.

23. Reviews, Feedback, and Testimonials

If you send us feedback, suggestions, or ideas about the Website or our services, you agree we may use them freely, without payment or obligation to you, and without treating them as confidential.

If you give us a testimonial or review, you agree that we may publish it, along with your first name and general location, unless you ask us not to. Tell us at any time if you would like a published testimonial removed.

24. Third-Party Links and Services

The Website may link to or rely on services we do not control, including payment processors, shipping and art handling companies, framers, social media platforms, email tools, and analytics providers.

We include links because we think they are useful. We do not control those sites and services, we do not endorse everything on them, and we are not responsible for their content, products, security, or privacy practices. Once you leave our Website, the other site’s terms and privacy policy apply, so please read them.

25. Cookies, Google Analytics, and Tracking

We use Google Analytics to understand how people find and use the Website, for example which collections get viewed most and which pages people leave from. This helps us improve the Website and our exhibitions.

Google Analytics uses cookies and similar technologies to collect information such as the pages you visit, how long you stay, your approximate location based on IP address, the type of device and browser you use, and the site or search that referred you. This information is used in aggregate to spot patterns. We do not use Google Analytics to identify you personally, and we do not sell this information.

We also use cookies that are necessary for the Website to work, for example to keep items in your cart and to keep you signed in.

You can control cookies through your browser settings, and you can opt out of Google Analytics using Google’s browser add-on at https://tools.google.com/dlpage/gaoptout. Blocking some cookies may affect how parts of the Website work, including checkout.

Our Privacy Policy explains this in more detail, including your rights over your personal information.

26. Privacy

We handle your personal information in line with our Privacy Policy. Please read it, because it forms part of these Terms and explains what we collect, why we collect it, who we share it with, how long we keep it, and what choices you have.

27. Availability of the Website

We work to keep the Website available and up to date, but we cannot promise it will always be available or error-free. We may change, suspend, or withdraw all or part of the Website at any time, including for maintenance, upgrades, or reasons outside our control. We will try to give notice where we reasonably can.

You are responsible for your own internet access, devices, and security, including keeping antivirus protection in place.

28. Disclaimer of Warranties

The Website and its content are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In particular, we do not promise that:

  • The Website will be uninterrupted, secure, or free of errors or viruses.
  • Every description, image, price, dimension, or availability status is complete or free from error.
  • Colours or textures on your screen will match the physical work exactly.
  • Any artwork will hold or increase in value, or be resellable.
  • Any educational or editorial content on the Website is suitable for your particular situation.

Some jurisdictions do not allow certain warranties to be excluded, so parts of this section may not apply to you. Nothing here removes rights you have under consumer protection law that cannot be waived.

29. Limitation of Liability

To the fullest extent the law allows:

  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, loss of data, loss of expected resale value, or loss of goodwill, even if we were told such losses were possible.
  • Our total liability to you for any claim connected with the Website, an order, a viewing, or an event is limited to the amount you actually paid us for the artwork, ticket, or service the claim relates to, or one hundred United States dollars if you have not paid us anything.

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence, or any other liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

30. Your Responsibility for Certain Costs

You agree to cover our reasonable losses, costs, and legal fees if they arise from:

  • Your breach of these Terms.
  • Your misuse of the Website or of artwork images.
  • Content you submit to us.
  • Damage you or your guests cause at a private viewing or event.
  • Your breach of any law or of anyone else’s rights.

We will tell you promptly about any such claim and give you a reasonable opportunity to be involved in how it is handled.

31. Suspending or Ending Your Access

We may suspend or end your access to the Website, cancel an order, or decline future orders and bookings if you breach these Terms, if we suspect fraudulent or unlawful activity, or if we reasonably need to protect our staff, our artist, our collectors, or the artwork.

You can stop using the Website at any time, and you can ask us to close your account by emailing info@ovicogallery.com.

Sections that by their nature should survive the end of this agreement will do so, including those on copyright, intellectual property, disclaimers, limitation of liability, your responsibility for certain costs, and governing law.

32. Changes to These Terms

We may update these Terms as our business, our services, or the law changes. When we do, we will post the revised version here and update the “Last updated” date at the top.

Changes take effect when they are posted. If you keep using the Website after that, you accept the updated Terms. The version of the Terms that applies to a purchase is the version in force when your order was accepted. We suggest reviewing this page from time to time.

33. Governing Law and Where Disputes Are Handled

These Terms and any dispute arising from them or from your use of the Website are governed by the laws of the State of Florida and the applicable laws of the United States, without regard to conflict of law rules.

You and we agree that any dispute will be brought in the state or federal courts located in St. Johns County, Florida, and we each consent to the jurisdiction of those courts. If mandatory consumer law in your country gives you the right to bring a claim locally, that right is not affected.

Before starting formal proceedings, please contact us at info@ovicogallery.com. Most issues can be sorted out quickly and directly, and we would always rather resolve things that way.

34. General Terms

  • Whole agreement. These Terms, together with our Privacy Policy and any written sale agreement or invoice we issue, are the entire agreement between us about the Website and your purchases.
  • If part is unenforceable. If a court finds any part of these Terms unenforceable, the rest stays in force and the unenforceable part is applied as closely as possible to its original intent.
  • No waiver. If we do not enforce a right straight away, that does not mean we give it up.
  • Transfer. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer ours, for example if our business is sold, provided your rights are not reduced.
  • Events outside our control. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, strikes, carrier failures, customs action, power or internet outages, and government restrictions.
  • No partnership. These Terms do not create a partnership, agency, employment, or joint venture between us.
  • Headings. Section headings are there to help you navigate and do not affect how these Terms are interpreted.
  • Notices. We may contact you at the email address you gave us. You can contact us using the details below.
